SUSI Tech & EngageIQ Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and SUSI Tech ("Company," "we," "us," or "our"). These Terms govern your use of:

  • ‍The SUSI Tech corporate website located at www.susi.tech(the "Marketing Site"), used for informational and marketing purposes; and

  • The EngageIQ application located at https://engageiq.susi.tech/login and its associated mobile application (the "Application").

Both are referred to collectively as the "Sites" where provisions apply to both, or individually where provisions are specific to one.

By accessing or using either Site, you agree to be bound by these Terms. If you do not agree, you are not authorized to access or use the Sites.

Important: Where you have entered into a subscription agreement for EngageIQ, the Application Terms set out in Part B of these Terms govern and supersede any conflicting terms in the Marketing Site Terms set out in Part A.

PART A — MARKETING SITE TERMS

Applicable to the SUSI Tech corporate website at www.susi.tech

2. Purpose and Nature of the Marketing Site

The Marketing Site is provided for general informational and promotional purposes only. Nothing on the Marketing Site constitutes a binding offer, contract, or guarantee of any product, service, feature, or pricing. All content is subject to change without notice.

3. Intellectual Property — Marketing Site

3.1 Ownership

All content on the Marketing Site, including but not limited to text, graphics, logos, icons, images, audio clips, and software, is the exclusive property of SUSI Tech or its content suppliers and is protected by Austrian and international copyright, trademark, and intellectual property laws.

3.2 Permitted Use

You may view and print pages from the Marketing Site for your own personal, non-commercial use. You may not:

  • Reproduce, distribute, or republish any content from the Marketing Site without our prior written consent

  • Use our trademarks, logos, or brand assets without explicit written permission

  • Frame or mirror any content on the Marketing Site on any other website or platform

  • Use any automated tools to scrape or extract content from the Marketing Site

3.3 Trademarks

"SUSI Tech," "EngageIQ," and all associated logos and product names are trademarks of SUSI Tech. Unauthorized use of any SUSI Tech trademark is strictly prohibited.

4. Accuracy and Disclaimer — Marketing Site

4.1 Informational Purposes Only

The content on the Marketing Site, including product descriptions, pricing tables, feature lists, and case studies, is provided for informational purposes only. While we make reasonable efforts to keep information accurate and current, we make no representations or warranties of any kind, express or implied, regarding the completeness, accuracy, reliability, or suitability of any information on the Marketing Site.

4.2 Pricing and Features

Pricing and feature information displayed on the Marketing Site is indicative only and may be subject to change. Current and binding pricing is confirmed only at the point of subscription within the Application.

4.3 Errors and Omissions

We reserve the right to correct any errors, inaccuracies, or omissions on the Marketing Site at any time without prior notice.

5. Third-Party Links — Marketing Site

The Marketing Site may contain links to third-party websites, tools, or resources. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. The inclusion of any link does not imply our endorsement of the linked site.

6. Email and Direct Contact

6.1 Mailto Links

The Marketing Site may include mailto: links that allow you to contact us directly by email. By sending us an email, you acknowledge that:

  • Email is not a fully secure communication method

  • We will use your email address and message content solely to respond to your enquiry

  • We will not sell, share, or otherwise disclose your contact information to third parties for marketing purposes

6.2 Privacy

Our full Privacy Policy, available in the footer of the Marketing Site, sets out how we handle any personal information received via the Marketing Site, including emails sent to us directly.

7. Limitation of Liability — Marketing Site

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUSI TECH SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE MARKETING SITE OR ITS CONTENT, INCLUDING ANY RELIANCE PLACED ON INFORMATION PROVIDED ON THE MARKETING SITE.

PART B — APPLICATION TERMS

Applicable to the EngageIQ application at www.susi.tech/engageIQ and associated mobile application

8. Application Overview and Precedence

8.1 Scope

These Application Terms govern your use of EngageIQ, SUSI Tech's AI-powered marketing platform. The Application provides tools for generating marketing campaigns, social media content calendars, and targeted content, along with the ability to upload and manage brand assets.

8.2 Precedence

These Application Terms supersede and take precedence over the Marketing Site Terms (Part A) in all matters relating to your use of the EngageIQ Application, including but not limited to billing, data, content ownership, and dispute resolution.

8.3 Click-Wrap Agreement

Access to the Application requires you to actively accept these Terms by checking an "I agree" box during registration. This constitutes your binding agreement to these Terms, including all subscription and payment obligations set out below.

9. Service Features

Features available through EngageIQ may vary by subscription tier and include:

  • AI-assisted creation and management of marketing campaigns

  • Automated generation of social media content calendars

  • AI-assisted content creation and recommendations

  • Brand asset management and storage

  • Export of generated content in text and PDF formats

10. Account Registration and Security

10.1 Account Creation

To use the Application, you must register for an account by providing a valid username, password, and any other required information. You agree to provide accurate, current, and complete information and to keep it up to date.

10.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at engageiq@susi.tech of any unauthorized use of your account or any security breach.

10.3 Individual Access

Subscriptions are for a single named user only. Sharing your login credentials with any other person is strictly prohibited. We reserve the right to monitor usage patterns to enforce this policy and may suspend accounts found to be in breach.

11. Subscription Plans and Billing

11.1 Subscription Tiers

We offer multiple subscription tiers with different features and usage limits. Full details of current tiers and their respective features are described on our pricing page within the Application.

11.2 Billing and Renewal

Subscription fees are billed either monthly or annually in advance. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your nominated payment method at the then-current rate on each renewal date.

11.3 Changes to Pricing

We reserve the right to change subscription fees at any time. We will provide at least 30 days' notice of any price change via the Application or by email before the change takes effect.

11.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation, you will retain access to the Application until the end of your current billing period. No refunds are provided for any unused portion of a billing period.

11.5 Post-Cancellation Access

Following cancellation or termination, your generated content and uploaded assets will remain accessible for 90 days, after which they will be permanently and irrecoverably deleted from our systems. We strongly recommend exporting all content you wish to retain before this period expires.

12. Content Ownership and Rights

12.1 Your Uploaded Content

You retain full ownership of all content you upload to the Application, including brand assets such as images, videos, logos, and text ("Your Content").

12.2 Generated Content

You own all marketing campaigns, social media calendars, and other content generated by the Application based on your inputs and preferences ("Generated Content"), subject to your compliance with these Terms and any applicable laws governing AI-generated content.

12.3 License to Your Content

By uploading Your Content, you grant SUSI Tech a worldwide, non-exclusive, royalty-free license to use, copy, store, and process Your Content solely for the purpose of providing the Service to you. We do not use Your Content or Generated Content to train our AI models without your explicit consent.

12.4 Content Restrictions

You agree not to upload content that:

  • Infringes the intellectual property or privacy rights of any third party

  • Contains illegal, obscene, defamatory, threatening, or harmful material

  • Contains malware, viruses, or any code designed to damage or disrupt the Service

  • Violates any applicable law or regulation

12.5 AI-Generated Content Compliance

The regulatory landscape for AI-generated content is evolving. You are solely responsible for ensuring that your use and publication of Generated Content complies with all applicable laws, regulations, and platform policies in effect at the time of publication, including:

  • Disclosure requirements for AI-generated content

  • Copyright and fair use obligations

  • Platform-specific content policies

  • Applicable advertising and marketing regulations

13. Disclaimer of Performance Guarantees

EngageIQ makes no representations, warranties, or guarantees, express or implied, regarding any increase or improvement in earned media engagement, paid media engagement, or any other performance metrics or results arising from use of the Application. Actual results may vary and are subject to factors outside our control. SUSI Tech shall not be liable for any failure to achieve expected or anticipated engagement outcomes.

14. Acceptable Use and Ethical Standards

14.1 Ethical Content Guidelines

We are committed to the ethical use of AI. You agree to use the Application only to create content that:

  • Is truthful and not intentionally misleading

  • Respects the dignity and rights of all individuals

  • Does not promote hatred, discrimination, or violence

  • Does not exploit or harm vulnerable populations

  • Complies with applicable truth-in-advertising requirements

14.2 Prohibited Uses

You agree not to use the Application to:

  • Generate content that impersonates specific individuals without their permission

  • Create deceptive or fraudulent marketing materials

  • Generate or distribute misinformation

  • Circumvent platform detection systems or content policies

  • Engage in any activity that damages the reputation or integrity of SUSI Tech or the Application

15. Disclaimer of Responsibility for Published Content

15.1 User Responsibility

You are solely responsible for reviewing, approving, and publishing any Generated Content. We do not monitor or pre-approve content you choose to publish, and we bear no responsibility for any consequences arising from your publication or use of Generated Content.

15.2 No Legal Advice

The Application does not provide legal advice regarding marketing regulations, disclosure obligations, or compliance matters. You should seek independent legal counsel to ensure your marketing activities comply with applicable laws.

15.3 Platform Compliance

You are responsible for ensuring that all content you publish complies with the policies of the social media and advertising platforms where it is used, including any rules specific to AI-generated content.

16. Intellectual Property — Application

16.1 SUSI Tech Intellectual Property

The Application, including its interface, features, workflows, algorithms, and underlying technology, is and remains the exclusive property of SUSI Tech and its licensors, protected by Austrian and international intellectual property laws.

16.2 Content Generation Technology

While you own the Generated Content, the underlying AI models, algorithms, and technology used to produce that content remain the exclusive property of SUSI Tech.

16.3 Feedback

Any feedback or suggestions you provide regarding the Application are assigned to SUSI Tech, which may use them without restriction or compensation to you.

17. Data Use and Privacy

17.1 Aggregated Data

We may collect and use aggregated, anonymized data about how users interact with the Application to improve our services. This data will not include your specific content or personally identifiable information.

17.2 Privacy Policy

Our Privacy Policy, incorporated into these Terms by reference, describes in full how we collect, use, and protect personal information in connection with the Application.

18. Export Capabilities and Storage

18.1 Export Formats

You may export Generated Content in text and PDF formats. Additional formats may be made available in future.

18.2 Export Limitations

Depending on your subscription tier, limits may apply to the volume of content you can export within a given period.

18.3 Active Subscription Storage

During your active subscription, we will store Your Content and Generated Content as needed to provide the Service.

18.4 Post-Termination Retention

Upon cancellation or termination, Your Content and Generated Content will be retained for 90 days and then permanently deleted. Content may persist in system backups for a limited time thereafter but will not be accessible to any user.

19. Disclaimers — Application

19.1 Service "As Is"

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

19.2 Content Quality

WE DO NOT GUARANTEE THAT GENERATED CONTENT WILL BE ERROR-FREE, ORIGINAL, NON-INFRINGING, OR SUITABLE FOR YOUR SPECIFIC MARKETING NEEDS. YOU ARE RESPONSIBLE FOR REVIEWING AND EDITING ALL GENERATED CONTENT BEFORE PUBLICATION.

19.3 Campaign Effectiveness

WE DO NOT GUARANTEE THAT ANY MARKETING CAMPAIGN OR CONTENT GENERATED THROUGH THE APPLICATION WILL BE EFFECTIVE OR ACHIEVE ANY PARTICULAR RESULTS.

20. Limitation of Liability — Application

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUSI TECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (I) YOUR USE OF OR INABILITY TO USE THE APPLICATION; (II) ANY THIRD-PARTY CONDUCT OR CONTENT; (III) ANY CONTENT OBTAINED FROM THE APPLICATION; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT; OR (V) YOUR PUBLICATION OR USE OF ANY GENERATED CONTENT.

21. Indemnification

You agree to defend, indemnify, and hold harmless SUSI Tech, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (i) your use of the Application; (ii) your violation of these Terms; (iii) your violation of any third-party right; (iv) any claim that Your Content caused damage to a third party; or (v) any claim related to your publication or use of Generated Content.

PART C — GENERAL TERMS

Applicable to both the Marketing Site and the Application

22. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide notice through the relevant Site or by email before changes take effect. Your continued use of either Site after changes are posted constitutes your acceptance of the revised Terms. Application subscribers will receive direct email notification of any material changes to the Application Terms.

23. Governing Law and Dispute Resolution

23.1 Governing Law

These Terms and your use of both Sites are governed by and construed in accordance with the laws of Austria, without regard to conflict of law principles.

23.2 Dispute Resolution

Any dispute arising from or relating to these Terms shall be settled by binding arbitration in accordance with the rules of the Vienna International Arbitral Centre (VIAC).

24. Termination

We may terminate or suspend your access to either or both Sites immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination of your Application account, you will have 90 days to export your content before it is permanently deleted.

25. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
