SUSI Tech EngageIQ Terms of Service

1. Introduction and Acceptance

Welcome to SUSI Tech's EngageIQ marketing platform application and website (collectively, the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and SUSI Tech ("Company," "we," "us," or "our") governing your use of the Service, which includes our website located at www.susi.tech/engageIQ, our mobile application, and all related services, features, content, or applications.

The Service provides tools for generating marketing campaigns, social media calendars, and targeted content, along with the ability to upload and manage brand assets. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are not authorized to access or use the Service.

2. Service Description

Our Service provides the following features, which may vary based on your subscription tier:

  • AI-assisted creation and management of marketing campaigns

  • Automated generation of social media content calendars

  • AI-assisted content creation and recommendations

  • Brand asset management and storage

  • Export capabilities for created content

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must register for an account by providing a username, password, and other required information. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Individual Access

Your subscription provides access for a single user only. Sharing your login credentials with others is prohibited. We reserve the right to monitor account usage patterns to ensure compliance with this policy.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer multiple subscription tiers with different features and capabilities. The specific features available to you depend on the subscription tier you select. Current subscription options and features are described on our pricing page.

4.2 Billing and Renewal

Subscription fees are billed either monthly or annually in advance. Unless you cancel your subscription before the next renewal date, your subscription will automatically renew, and you authorize us to charge your payment method for the subscription fee at the then-current rate.

4.3 Changes to Pricing

We reserve the right to change our subscription fees at any time. If we change the fees for your subscription, we will provide notice through the Service or by email at least 30 days before the change takes effect.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. We do not provide refunds for the unused portion of your subscription period.

4.5 Post-Cancellation Access

Following cancellation, your generated content and uploaded assets will remain accessible for 90 days, after which they will be permanently deleted from our systems. We strongly recommend exporting any content you wish to keep before this 90-day period expires.

5. Content Ownership and Rights

5.1 Your Content

You retain all ownership rights to the content you upload to the Service, including brand assets such as images, videos, logos, and text ("Your Content"). You also own all marketing campaigns, social media calendars, and other content generated by the Service based on your inputs and preferences ("Generated Content").

5.2 License to Your Content

By uploading Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, store, and process Your Content solely for the purpose of providing and improving the Service to you.

5.3 Content Restrictions

You agree not to upload content that:

  • Infringes on the intellectual property rights of others

  • Contains illegal, obscene, defamatory, threatening, or otherwise harmful material

  • Contains malware, viruses, or any code designed to disrupt or damage the Service

  • Violates any applicable law or regulation

5.4 AI-Generated Content Compliance

The regulatory landscape for AI-generated content is evolving. You are responsible for ensuring that your use of Generated Content complies with all applicable laws, regulations, and platform policies in effect at the time of publishing, including:

  • Proper disclosure of AI-generated content where required

  • Compliance with copyright and fair use requirements

  • Adherence to platform-specific rules about AI-generated content

  • Compliance with relevant advertising and marketing regulations

6. Acceptable Use and Ethical Standards

6.1 Ethical Content Guidelines

We are committed to the ethical use of AI for content generation. You agree to use the Service only to create content that:

  • Is truthful and not intentionally misleading

  • Respects the dignity and rights of all individuals

  • Does not promote hatred, discrimination, or violence

  • Does not exploit or harm vulnerable populations

  • Complies with applicable truth-in-advertising requirements

6.2 Prohibited Uses

You agree not to use the Service to:

  • Generate content that impersonates specific individuals without permission

  • Create deceptive or fraudulent marketing materials

  • Generate content intended to spread misinformation

  • Circumvent platform rules or automated content detection systems

  • Engage in activities that could damage our reputation or the integrity of our Service

7. Disclaimer of Responsibility for Published Content

7.1 User Responsibility

You are solely responsible for reviewing, approving, and publishing any Generated Content. We do not monitor or approve the content you choose to publish, and we are not responsible for any consequences that may result from your publication or use of Generated Content.

7.2 No Legal Advice

The Service does not provide legal advice regarding marketing regulations, disclosure requirements, or other compliance matters. You should consult with appropriate legal counsel to ensure your marketing activities comply with all applicable laws and regulations.

7.3 Platform Compliance

Different social media and advertising platforms have their own policies regarding acceptable content, including specific rules for AI-generated content. You are responsible for ensuring that the content you publish complies with the policies of the platforms where you use it.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its interface, features, algorithms, and underlying technology, is and remains the exclusive property of SUSI Tech and its licensors. The Service is protected by copyright, trademark, and other laws of Austria and foreign countries.

8.2 Feedback

If you provide us with any feedback or suggestions regarding the Service, you assign to us all rights in the Feedback and agree that we have the right to use the Feedback without restriction and without compensation to you.

8.3 Content Generation Technology

While you own the Generated Content, you acknowledge that the underlying AI models, algorithms, and technology used to generate that content remain our exclusive property.

9. Data Use and Privacy

9.1 Training Data

We do not use your uploaded content or generated campaigns to train our AI models without your explicit consent.

9.2 Aggregated Data

We may collect and use aggregated, anonymized data about how users interact with the Service to improve our offerings, but this data will not include your specific content or personally identifiable information.

9.3 Privacy Policy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms.

10. Export Capabilities

10.1 Available Formats

The Service allows you to export Generated Content in text and PDF formats. We may add additional export formats in the future.

10.2 Export Limitations

Depending on your subscription tier, there may be limitations on the volume of content you can export within a given time period.

11. Content Storage and Retention

11.1 Active Subscriptions

During your active subscription period, we will store Your Content and Generated Content for as long as needed to provide you with the Service.

11.2 Post-Termination

Upon termination or cancellation of your subscription, we will retain Your Content and Generated Content for 90 days, after which it will be permanently deleted from our systems.

11.3 Backups

We maintain regular backups of our systems for disaster recovery purposes. Your Content may remain in these backups for a limited time even after the 90-day post-termination period, but will not be accessible to you or others.

12. Disclaimers

12.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 Content Quality

WHILE WE STRIVE TO GENERATE HIGH-QUALITY CONTENT, WE DO NOT GUARANTEE THAT THE GENERATED CONTENT WILL BE ERROR-FREE, ORIGINAL, NON-INFRINGING, OR SUITABLE FOR YOUR SPECIFIC MARKETING NEEDS. YOU ARE RESPONSIBLE FOR REVIEWING AND EDITING GENERATED CONTENT BEFORE PUBLICATION.

12.3 Campaign Effectiveness

WE DO NOT GUARANTEE THAT MARKETING CAMPAIGNS OR CONTENT GENERATED THROUGH THE SERVICE WILL BE EFFECTIVE OR ACHIEVE ANY PARTICULAR RESULTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUSI TECH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (V) THE USE OR PUBLICATION OF ANY GENERATED CONTENT.

14. Indemnification

You agree to defend, indemnify, and hold harmless SUSI Tech, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with: (i) your access to or use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right or privacy right; (iv) any claim that Your Content caused damage to a third party; or (v) any claim related to your publication or use of Generated Content.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service, or by other means to provide you the opportunity to review the changes before they become effective. Your continued use of the Service after the changes have been posted constitutes your acceptance of the revised Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of Austria, without giving effect to any principles of conflicts of law.

16.2 Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be settled by binding arbitration in accordance with the rules of the Vienna International Arbitral Centre (VIAC).

17. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease, and you will have 90 days to export your content before it is permanently deleted.
